Early Access Confidentiality Agreement - FASL.io

1. Parties.
This Agreement is between FASL.io (operating under وثيقة عمل حر in the Kingdom of
Saudi Arabia, "FASL", "we", "us") and the individual or entity who clicks the
"I agree" control on the early-access waitlist form ("Recipient", "you").
2. Purpose.
You are joining FASL's early-access waitlist to evaluate non-public products,
features, demos, or beta access ("Early Access Materials"). This Agreement
governs your treatment of those materials.
3. Confidential Information.
"Confidential Information" means any non-public information about FASL's
products, demos, beta releases, product roadmap, technical architecture,
performance benchmarks, business plans, pricing strategies, or commercial
arrangements, in any form, that FASL shares with you in connection with the
early-access program. Confidential Information includes the existence and
substance of any meeting, screen-share, video call, or written communication
with FASL about Early Access Materials.
4. Exclusions.
Confidential Information does not include information that: (a) is or
becomes publicly available through no breach of this Agreement by you;
(b) was already known to you on a non-confidential basis before disclosure
by FASL, demonstrable by written records; (c) is received from a third party
without obligation of confidentiality; or (d) is independently developed by
you without use of or reference to Confidential Information.
5. Your Obligations.
You agree to: (a) hold Confidential Information in strict confidence;
(b) not disclose Confidential Information to any third party without FASL's
prior written consent; (c) use Confidential Information solely to evaluate
the early-access program; (d) protect Confidential Information with at
least the same degree of care you use for your own confidential information,
and in no event less than reasonable care; and (e) not record, screenshot,
copy, reverse engineer, or republish Early Access Materials without FASL's
prior written consent.
6. Term and Survival.
The confidentiality obligations in this Agreement remain in effect for two
(2) years from your acceptance, and survive your withdrawal from the
waitlist or termination of the early-access program. Obligations relating
to trade secrets continue for as long as the information qualifies as a
trade secret under applicable law.
7. No License.
Nothing in this Agreement grants you any license or right to use FASL's
intellectual property, brand, code, or models beyond what is necessary to
evaluate the early-access program.
8. No Warranty.
Early Access Materials are provided "as is" without warranty of any kind.
FASL is not obligated to release any product or feature you are shown.
9. Electronic Acceptance.
You consent to enter into this Agreement electronically. Your click on the
"I agree" control, together with the email address and timestamp recorded
at submission, constitutes your signature for the purposes of the Kingdom
of Saudi Arabia Electronic Transactions Law and equivalent laws in other
jurisdictions. FASL retains a record of your acceptance (email, IP address,
user agent, version, and SHA-256 hash of this text) as evidence.
10. Governing Law.
This Agreement is governed by the laws of the Kingdom of Saudi Arabia.
Disputes shall be resolved in the competent courts of Riyadh.
11. Entire Agreement.
This Agreement is the entire understanding between you and FASL regarding
Early Access Materials and supersedes any prior oral or written
representations on the same subject.
